L and S FL Holdings LLC is a real estate investment company that acquires residential and commercial properties across North Carolina and the Southeast. Our goal is to structure purchases that work for both sides: the seller gets a great price, a substantial cash payment at closing, and a secure interest in the remaining balance. We get a property we can operate and hold long-term.
Why We Buy This Way
Most investment buyers either pay all cash at a steep discount or ask a seller to carry the entire note with little protection. We do neither. Our structure is designed to pay sellers full or over market value by combining a meaningful cash down payment with seller financing on the balance. This lets us offer a better price than a typical cash buyer while giving the seller two things most buyers do not offer: security and ongoing income.
For sellers with equity and low or no existing mortgage, this structure also creates a potential tax advantage. Spreading proceeds over multiple years through an installment sale under IRC Section 453 can reduce the immediate capital gains tax burden compared to receiving the full purchase price in a single year. We recommend sellers consult their CPA or tax advisor to confirm how this applies to their specific situation.

Cash Down at Closing

Title to Property LLC
Title transfers to a single-purpose LLC formed specifically for the property (the "property LLC"). This is standard practice for investment buyers and does not affect the seller's security in any way.

Secured Seller Note
The remaining balance is carried by the seller as a structured note, secured by two instruments recorded and executed at closing

Monthly Payments & Balloon
Monthly payments (if agreed upon) begin immediately and continue for the agreed term, with the remaining balance due at the balloon date.
